Welcome to Wise Sender! These Terms of Service govern your access to and use of our website, platform, and services. By using our services, you agree to comply with these terms. If you do not agree, please refrain from using our services.

1. Acceptance of Terms

By accessing our website or using our services, you confirm that you have read, understood, and agree to these Terms of Service, along with our Privacy Policy and Cancellation and Refund Policy.

2. Services Provided

We offer WhatsApp Business API solutions, including chatbot integrations, bulk messaging capabilities, analytics, and other features to enhance your business communication. The services provided are subject to the terms outlined in this agreement.

3. Account Registration and Security

  • Registration: To access our services, you must create an account by providing accurate and complete information.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

4. Usage Restrictions

You agree to use our services in compliance with applicable laws and WhatsApp’s policies. You must not:

  • Use the platform to send spam, illegal content, or unauthorized promotional messages.
  • Reverse-engineer, decompile, or tamper with the platform.
  • Use the platform for purposes that harm or exploit others.

5. Payment and Billing

  • Subscription Fees: All subscription fees must be paid in full as per the plan selected.
  • Billing Cycle: Payments are billed monthly or annually, depending on your chosen subscription.
  • Late Payments: Failure to pay on time may result in suspension or termination of your account.

6. Termination of Service

We reserve the right to terminate your account or access to our services if:

  • You breach these terms.
  • You misuse the platform in violation of applicable laws or WhatsApp’s policies.

Upon termination, all rights granted to you will cease immediately.

7. Intellectual Property

  • All content, software, and materials provided through our services are the property of Wise Sender or its licensors.
  • You may not copy, distribute, or modify any part of the platform without prior written permission.

8. Limitation of Liability

We are not liable for:

  • Indirect, incidental, or consequential damages resulting from your use of the platform.
  • Downtime, technical issues, or delays caused by third-party services.

Our total liability is limited to the amount you paid for the services during the 12 months preceding the claim.

9. Privacy

We collect and process your data in accordance with our Privacy Policy. By using our services, you consent to the collection and use of your information as outlined in the policy.

10. Changes to Terms

We may update these terms at any time. Continued use of our services after changes are posted constitutes your acceptance of the updated terms.

11. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes arising will be resolved in the courts of Delhi.

12. Third-Party Integrations

WiseSender allows users to connect third-party services, including but not limited to Google Calendar, Google Meet, Meta’s WhatsApp Business Platform, and other supported integrations.

These integrations are optional and are enabled only after the user explicitly authorizes WiseSender to access the relevant third-party service through the provider’s authorization process.

Users acknowledge that the availability, functionality, and continued operation of third-party services depend on the respective service providers. WiseSender is not responsible for outages, policy changes, API limitations, or service interruptions caused by third-party providers.

13. Google Calendar & Google Meet Integration

When a user connects their Google Account, WiseSender is authorized to perform only those Google Calendar operations necessary to provide appointment scheduling and meeting management features requested by the user.

These operations may include:

  • Creating calendar events.
  • Updating calendar events.
  • Deleting calendar events.
  • Generating Google Meet links for online appointments.

WiseSender does not access Google services beyond the permissions granted by the user.

Users may disconnect their Google Account at any time. Once disconnected, WiseSender will no longer be able to synchronize appointments with Google Calendar until the user reconnects the integration.

14. WhatsApp Business Platform

WiseSender provides tools that integrate with the WhatsApp Business Platform.

Users are solely responsible for ensuring that their use of WhatsApp messaging complies with applicable laws, Meta’s policies, and WhatsApp Business Platform Terms.

WiseSender is not responsible for restrictions, suspensions, or enforcement actions taken by Meta against a user’s WhatsApp Business Account.

15. Artificial Intelligence (AI) Services

WiseSender may provide optional AI-powered features, including chatbot functionality.

These features may utilize third-party AI providers, such as OpenAI, solely to generate responses requested by the user.

Google Calendar data obtained through Google APIs is not used to train AI models and is not transmitted to AI providers solely because a user has connected a Google Account.

Users remain responsible for reviewing AI-generated responses before relying on them for business decisions.

16. User Responsibilities

Users agree that they will:

  • Provide accurate account information.
  • Maintain the confidentiality of their account credentials.
  • Use WiseSender only for lawful purposes.
  • Obtain any necessary consent before communicating with customers.
  • Comply with all applicable laws and third-party platform policies.

Users are responsible for any content, customer data, or communications sent through WiseSender.

17. Data Ownership

Users retain ownership of the business information, customer information, appointment information, and other content they submit to WiseSender.

WiseSender processes such information solely for the purpose of providing the services requested by the user.

Nothing in these Terms transfers ownership of user data to WiseSender.

18. Account Suspension

WiseSender reserves the right to suspend or terminate accounts that:

  • Violate these Terms.
  • Violate applicable laws.
  • Abuse the platform.
  • Attempt unauthorized access to the platform or third-party services.
  • Engage in fraudulent or malicious activities.

Where reasonably practicable, WiseSender may provide notice before suspension.

19. Limitation of Liability

WiseSender provides the platform on an “as available” and “as is” basis.

To the maximum extent permitted by applicable law, WiseSender shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the platform, including interruptions caused by third-party service providers such as Google or Meta.

20. Changes to the Services

WiseSender may modify, improve, add, or discontinue features to comply with legal requirements, third-party platform policies, security standards, or product improvements.

Material changes affecting users will be communicated where required by applicable law.
